Florida's corporate income tax generally follows federal classification. An entity treated as a C corporation federally is where the state tax is most likely to bite. One treated as a partnership or an S corporation generally does not pay it at the entity level, with exceptions that are real and specific. An LLC is not a third answer. The limitation: classification is not a dial you spin for a better Florida answer. Electing or revoking a federal tax status carries consequences far beyond this one state tax, and chasing a state outcome with it is how founders acquire new problems.

A Year With No Tax Due Is Still a Year With a Filing
This is where the money actually gets lost.
Penalties here are rarely driven by unpaid tax. They are driven by returns nobody filed, on the theory that a company with no taxable income has nothing to report. Florida has an exemption amount that reduces or eliminates the tax for smaller filers, and sitting under it is not the same as being excused from the return. That figure and the filing requirements change, so confirm them with the Department of Revenue. A dormant or pre-revenue entity is exactly the profile that skips the return and finds out later.
The limitation: filing defensively costs fees and attention too. Get a real determination once, in writing.
Moving to Florida Does Not End the Old State's Interest
The state you left taxes what was earned while you were there, and it does not care that the mailing address changed in March.
Income is sourced to where the activity happened, so a company that relocated mid-year usually has filings on both sides for that year, and employees, property or contractors left behind can extend that past the move. The first year after a move is the most expensive compliance year a small company gets, not the cheapest.
