Most New York City freelancers meet the unincorporated business tax the same way. They have their first good year, they file, and a second bill shows up that nobody warned them about.

The UBT is a 4 percent New York City tax on net income from an unincorporated business. If you run a sole proprietorship, a partnership, or an LLC taxed as a partnership inside the five boroughs, it is aimed at you.

It is not a small-print item. It is a separate return, on top of federal and New York State.

Who Actually Has to File

The filing trigger is not the same for every entity, and it is not the same as the point where you owe money. Two different numbers.

Two things people get wrong here:

  • Gross, not net. The filing threshold looks at gross income. A partnership with $300,000 in billings and $40,000 in profit still files.
  • The partnership number is low. Twenty-five thousand dollars is a side project, not a business. Two friends splitting consulting work can cross it in a quarter.

Thresholds and forms change. Confirm the current year's instructions on the NYC Department of Finance site before you rely on any number in a blog post, including this one.

The Credit Phase-Out Is Where the Real Rate Hides

The UBT has a credit that wipes out the tax at the bottom of the range and disappears at the top of it.

Between $95,000 and $135,000 of UBT income, every extra dollar you earn costs you more than 4 percent.

Here is the shape of it:

  1. At $95,000 of UBT income, the credit covers the full gross tax and the net UBT is zero.
  2. From $95,000 to $135,000, the credit shrinks as income rises, so the effective marginal rate inside that band runs well above the headline 4 percent.
  3. Above $135,000, the credit is gone and the 4 percent applies to the whole amount.

That band is exactly where a lot of freelancers land in a good year. It is also why timing a December invoice, or a December equipment purchase, is a real conversation and not a gimmick.

Nobody can promise you a smaller UBT bill. The tax is a percentage of a number, and most of the levers on that number are business decisions you were going to make anyway.

Frequently Asked Questions

Do I owe NYC UBT if I work from home in Brooklyn for clients outside the city?

Probably yes, at least in part. The UBT reaches unincorporated business income allocated to New York City, and where you perform the work matters. Income allocation for a business with clients elsewhere is a real calculation, not a yes or no, and it is the single most common thing an NYC accountant will adjust on a self-prepared return.

Does forming an LLC get me out of the UBT?

No. A single-member LLC is treated as a sole proprietorship and a multi-member LLC is treated as a partnership, and both are unincorporated for UBT purposes. Electing S corporation or C corporation treatment moves you out of the UBT and into a different NYC tax, which is sometimes better and sometimes worse.

Can I get a credit on my New York State return for UBT I paid?

New York State allows a credit against personal income tax for a portion of UBT paid, subject to limits based on income. It rarely covers the whole amount. Treat it as a partial offset when you are budgeting rather than a wash.

When is the UBT return due?

For calendar-year filers it generally follows the federal deadline pattern, with extensions available. Because the payment and the extension are separate things, an extension to file is not an extension to pay. Check the current year's NYC Department of Finance instructions or ask your accountant for the exact date.
