NVIDIA ESPP Tax Guide: Qualifying vs. Disqualifying Dispositions

NVIDIA’s ESPP can create valuable employee benefits and complicated tax records at the same time. The key tax question is not only what you paid for the shares—it is also when you sell them relative to the offering date and purchase date.
NVIDIA’s 2026 annual filing states that participating employees may have up to 25% of earnings withheld to purchase common stock, subject to the plan and the Board’s discretion. The filing describes roughly 24-month offering periods divided into four six-month purchase periods, with the purchase price equal to 85% of the lower of the fair market value at the beginning of the offering period or the purchase date. Employees should verify their own current enrollment and plan documents because terms and eligibility can change.
How ESPP taxes differ from RSU taxes
RSUs are generally taxed as compensation when they vest. ESPP shares are purchased by the employee, and the tax result depends heavily on the purchase discount and how long the shares are held before sale. That means an NVIDIA employee can have RSU vesting income and ESPP disposition income in the same year with different calculations.
Qualifying disposition
For a Section 423-qualified ESPP, a sale generally needs to satisfy both statutory holding periods—more than two years after the offering date and more than one year after the purchase date—to receive qualifying-disposition treatment. The exact ordinary-income component and capital-gain component depend on the plan terms, offering-date value, purchase-date value, purchase price, and sale price.
Disqualifying disposition
If ESPP shares are sold before both holding periods are met, the sale is generally a disqualifying disposition. That does not automatically mean selling early is a mistake. Holding longer for possible tax treatment can increase exposure to one company, while selling can reduce concentration and create liquidity. The right decision is a tradeoff among tax, risk, cash needs, and the employee’s broader portfolio.
Track these dates and values for every purchase lot
- Offering date
- Purchase date
- Fair market value on the offering date
- Fair market value on the purchase date
- Actual purchase price
- Sale date and sale price
- Any compensation income reported through payroll or on tax documents
Watch for basis-reporting mistakes
Brokerage cost basis for ESPP shares does not always reflect every amount already taxed as compensation. Failing to reconcile Form W-2 information with brokerage reporting can create an incorrect capital gain. Preserve purchase confirmations, plan statements, Forms 1099-B, and payroll records.
ESPP + RSUs can accelerate NVIDIA concentration
An employee contributing to the ESPP while receiving recurring RSU grants can accumulate NVIDIA shares through two separate programs. Before holding shares solely to reach a tax holding period, calculate what percentage of investable assets is already tied to NVIDIA and what future grants may add. Why the holding period changes the tax result
For a tax-qualified employee stock purchase plan, U.S. tax rules distinguish between a qualifying disposition and a disqualifying disposition. In general terms, a qualifying disposition requires that the sale occur more than two years after the offering (grant) date and more than one year after the purchase date. A sale before either milestone is generally a disqualifying disposition.
In a disqualifying disposition, more of the benefit is generally treated as ordinary compensation income in the year of sale, with any remainder as capital gain or loss. In a qualifying disposition, a portion is still generally ordinary income — typically related to the plan discount — while more of the remaining appreciation can be treated as long-term capital gain. The precise computation depends on the plan's discount and lookback design, your purchase price and the share price at the relevant dates, so it is worth running the numbers rather than relying on a rule of thumb.
The tax tail should not wag the risk decision
Waiting to reach a qualifying holding period can improve the tax outcome, but it also means carrying single-stock risk for longer, often while new purchases and RSU vests keep adding to the same position. That trade-off — tax efficiency against concentration — is the real decision, and it is specific to how large the position already is.
Recordkeeping that prevents double taxation
Track the offering date, purchase date, purchase price and plan fair market values for every purchase period. Employers report the compensation element through payroll and Form 3922 information, while brokers report proceeds on Form 1099-B, sometimes with incomplete basis for plan shares. Reconcile the two before filing so the same income is not taxed twice.
Coordinate with RSU vests in the same year
A disqualifying disposition adds ordinary income in the year of sale, stacking on top of salary and RSU vesting. If several events land in one tax year, a projection is more useful than a rule. The RSU tax and withholding calculator is a starting point for the vesting side.
